كل مشترٍ للأراضي الزراعية عبر الحدود يصل عاجلاً أو آجلاً إلى المفترق نفسه — قرار «شركة المشروع أم السند المباشر»: أن تملك الأرض مباشرةً بسندٍ باسمك، أو أن تملكها عبر وعاء — عادةً شركة ذات غرض خاص (SPV) تحمل الأرض لمجموعة مستثمرين. كلاهما مشروعٌ قانوناً، وكلاهما يحلّ مشكلة مختلفة، ويناسب مشترياً مختلفاً، ويتعثّر بطريقة مختلفة. إليك المقارنة التي لا يقولها أي كتيّب بصراحة.
المبدأ: السند المباشر يُعظِّم السيطرة والديمومة؛ والـSPV يُعظِّم سهولة الدخول والحجم المشترك. لا «أفضل» بينهما إطلاقاً — الجواب الصحيح يتبع حجمَ مشاركتك، وأفقك الزمني، ومدى رغبتك في الإمساك بالقرار.
ما هو كلٌّ منهما فعلياً
السند المباشر يعني أن السجل العقاري يقيّدك أنت مالكاً — في تركيا: طابو باسمك وأرقام Ada/Parsel للقطعة (الآلية كاملة في دليل التملّك). أما الـSPV فشركة تُنشأ لغرضٍ واحد: حمل مشروعٍ بعينه. المستثمرون يملكون حصصاً في الشركة، والشركة تملك الأرض. حقوقك تسكن في مستندات الشركة التأسيسية، لا في السجل العقاري.
السند المباشر — قوّته وكلفته
أقوى حقٍّ قائم. ملكية مقيَّدة لدى الدولة: تُباع وتُورَّث وتُرهن، ولا يربطها مصيرُ أي شركة.
لا مخاطر وعاء. لا توجد شركة بينك وبين أصلك يمكن أن يُساء إدارتها أو تُخفَّف حصصها أو تُصفّى.
خروجٌ نظيف. تبيع أرضاً — شيئاً سعّرته الأسواق منذ قرون — لا حصصاً في شركة خاصة تحتاج مشترياً يقبل مستنداتها.
الكلفة: عتبة دخولٍ أعلى (تشتري قطعةً كاملة)، وعلاقة التشغيل تمسكها أنت — ولهذا تعظُم أهمية اتفاقية المشغِّل المكتوبة.
الـSPV — قوّته وكلفته
عتبة دخولٍ أدنى وحجمٌ مشترك. تستطيع مجموعةٌ أن تحمل مشروعاً كبيراً مُداراً باحتراف لا يقدر عليه فردٌ وحده — والحجم في الزراعة قيمةٌ حقيقية (الآلات والمدخلات والعمليات الميدانية تصبح أرخص لكل هكتار كلما كبر المشروع).
دفاترُ موحَّدة، ومشغِّلٌ واحد، وتقريرٌ واحد. حوكمة مركزية بدل تشتتها بين عشرات الملّاك.
الكلفة: حقك غير مباشر؛ وسيولتك رهن آليات نقل الحصص في مستندات الشركة؛ وتُضاف الولاية القضائية للوعاء وإدارتُه وجودة تدقيقه إلى مخاطرك.

حجم المشاركة. هل تكفي ميزانيتُك لشراء قطعةٍ كاملة صالحة، أم حصةٍ في شيءٍ أكبر؟
الأفق. التملّك عبر الأجيال يميل للسند المباشر (توريث أرضٍ أبسط من توريث حصص شركة أجنبية).
توقعات السيولة. لا سيولة حقيقية في أيٍّ منهما — لكنّ الأرض تُباع في السوق المفتوحة (ضمن قواعد تملّك الأجانب التي شرحناها في دليلنا)، والحصص تُباع لمن تسمح به المستندات.
شهية السيطرة. أتريد قرارات إعادة الغرس والمشغِّل والبيع بيدك وحدك؟ هذا سندٌ مباشر. مرتاحٌ لحوكمة جماعية؟ فهذا هو الـSPV.
تحمُّل المستندات. جودة الـSPV من جودة مستنداته — لا أكثر — بنود الخروج، وطريقة التقييم، وعزل المدير. إن لم تكن ستقرأها مع مستشار، فلا تشترِها.
حافز البائع. اسأل: لماذا اختار البائع الهيكل الذي يعرضه؟ الجواب المتماسك يُعلّمك أكثر من الكتيّب.
الـSPV: اتفاقية المساهمين والنظام الأساسي — فئات الحصص، وقيود النقل، ونوافذ الخروج، ورسوم المدير وعزله، وماذا يحدث إن تعثّر المشروع. ثم مستندات الأرض التي تحملها الشركة.
كيف نستخدم الاثنين نحن
لسنا مراقبين محايدين — شغّلنا الهيكلين معاً، ونُطابق كلاً منهما مع شكل المشروع. مشروعانا — الجوز في تركيا والزيتون في مصر — يتضمنان مسار مشاركةٍ جماعية لأن الحجم يخدمهما. أما إصدارنا الحالي في دنيزلي وأوشاك فحالةٌ معاكسة: قطعٌ تُباع بالطابو المباشر فقط — لا وعاء ولا حصص — لأن كل قطعة تُطوَّر بعد الشراء إلى بستانٍ مستقلٍّ بسنده الخاص. الهيكل يتبع الأرض، لا العكس. والمنطق كاملاً في لماذا هذا النموذج.
الأسئلة المتكررة
ليس بالضرورة — فالـSPV الموثَّق جيداً بحوكمةٍ نظيفة هيكلٌ جاد. الخطر في التركّز: حمايتك تسكن كلها في مستنداتٍ لا يقرأها معظم المشترين. السند المباشر ينقل الحماية من المستندات إلى سجل الدولة.
أحياناً — قد تبيع الـSPV قطعاً لمساهميها، وقد يُدخل ملّاكٌ أراضيهم في أوعية — لكن لا تفترض ذلك أبداً. اشترِ الهيكل الذي تريد أن تحمله، لا الذي تأمل أن تحوّله.
الجواب نفسه في الحالتين: مشغِّل محترف باتفاقية مكتوبة. الفرق فيمن يعمل المشغِّل لحسابه — الشركة (SPV) أو أنت شخصياً (السند المباشر). وفي إصدارنا المباشر يتعاقد المالك مع شريك التشغيل مباشرةً.
كلاهما قائم جنباً إلى جنب. من يستطيع تمويل قطعةٍ كاملة ويفكر بالعقود يميل إلى الطابو المباشر؛ ومن يعطي الأولوية لعتبة دخولٍ أدنى في مشروعٍ كبيرٍ محترف يميل إلى الهياكل المشتركة. ومتطلبات السند المباشر في دليل التملّك.
لا هذا ولا ذاك. الأرض الزراعية — مباشرةً كانت أم عبر وعاء — لا تؤهِّل لبرامج الإقامة أو الجنسية التركية التي تمرّ عبر عقارات سكنية مؤهَّلة. ومن يوحي لك بغير ذلك يبيعك أملاً لا هيكلاً.

SPV vs Direct Title: Two Ways to Own Farmland Abroad
Every cross-border farmland buyer eventually faces the same fork — the SPV vs direct title decision: own the land directly, title in your name — or own it through a vehicle, typically a special-purpose company (SPV) holding the land for a group of investors. Both are legitimate. They solve different problems, suit different buyers, and fail in different ways. Here is the comparison nobody’s brochure gives you straight.
The principle: direct title maximises control and permanence; an SPV maximises accessibility and shared scale. Neither is “better” — the right answer follows from your ticket size, your horizon, and how much operational involvement you want.
What each structure actually is
Direct title means the land registry records you as owner — in Türkiye, a Tapu with your name and the parcel’s Ada/Parsel numbers (the mechanics are in our ownership guide). An SPV is a company created for one purpose: holding a specific project. Investors own shares in the company; the company owns the land. Your rights live in the company’s constitutional documents, not in the land registry.
Direct title — strengths and costs
The strongest claim that exists. State-registered ownership: sellable, inheritable, mortgageable, and independent of any company’s fate.
No vehicle risk. There is no company that can be mismanaged, diluted, or wound up between you and your asset.
Clean exit. You sell land, a thing the market has priced for centuries — not shares in a private company that needs a willing buyer who accepts its documents.
The cost: higher entry (you buy a whole parcel), and the operating relationship is yours to hold — which is why a written operator agreement matters so much.
The SPV — strengths and costs
Lower entry, shared scale. A group can hold one large, professionally run project that no single member would buy alone — and scale genuinely matters in farming (machinery, inputs, and field operations get cheaper per hectare as projects grow).
One set of books, one operator, one report. Governance is centralised instead of fragmented across dozens of owners.
The costs: your claim is indirect; your liquidity depends on share-transfer mechanics in the company documents; and the vehicle’s jurisdiction, management, and audit quality become part of your risk.

Ticket size. Does your budget buy a whole viable parcel, or a share of something bigger?
Horizon. Multi-generational holding favors direct title (inheritance of land is simpler than inheritance of foreign shares).
Liquidity expectations. Neither structure is liquid — but land sells on the open market (subject to the foreign-ownership rules in our guide); shares sell to whoever the documents allow.
Control appetite. Want decisions about replanting, operators, or selling to be yours alone? That’s direct title. Comfortable with collective governance? SPV.
Document tolerance. An SPV is only as good as its constitutional documents — exit clauses, valuation method, manager removal. If you won’t read them with counsel, don’t buy them.
The seller’s incentive. Ask why the seller chose the structure they’re offering. A coherent answer teaches you more than the brochure.
What to read before signing — either way
Direct title: the sale agreement (what exactly is delivered, when), the title search, and the operator agreement — scope, annual cost, reporting cadence, termination.
SPV: the shareholders’ agreement and articles — share classes, transfer restrictions, exit windows, manager fees and removal, what happens if the project underperforms. Then the land documents underneath the company.
How we use both
We’re not neutral observers — we’ve run both structures, and we match them to project shape. Frequently asked
Not inherently — a well-documented SPV with clean governance is a serious structure. The risk is concentration: your protection lives entirely in documents most buyers never read. Direct title moves the protection from documents to the state registry.
Sometimes — an SPV can sell parcels to members, and landowners can contribute land into vehicles — but never assume it. Buy the structure you want to hold, not the one you hope to convert.
The same answer either way: a professional operator under a written agreement. The difference is who the operator answers to — the company (SPV) or you personally (direct title). In our direct-title release the owner contracts the operating partner directly.
Both exist side by side. Buyers who can fund a whole parcel and think in decades tend toward direct Tapu; buyers prioritising a lower entry into a larger professional project tend toward shared structures. Our ownership guide covers what direct title requires.
Neither. Agricultural land — held directly or through a vehicle — does not qualify for Türkiye’s residency or citizenship programs, which run through qualifying residential property. Anyone implying otherwise is selling you a hope, not a structure.

ما هو الطابو فعلياً — ولماذا يصنع الفرق
الطابو هو سند الملكية الرسمي الصادر عن مديرية السجل العقاري التركية (Tapu ve Kadastro). ليس عقداً مع شركة تطوير، وليس حصةً في شركة، وليس حقَّ استخدام. هو الوثيقة نفسها التي يتسلّمها المواطن التركي عند شرائه أرضاً: اسمك، ورقم القطعة المسجَّل (Ada/Parsel)، بقيدٍ حكومي.
وهذا الفارق ليس شكلياً. الأرض المسجَّلة بطابو تُباع وتُورَّث وتبقى ملكك بلا أجل — ولا يستطيع مشغِّل أو مطوِّر أو وسيط ترتيبَ أي حقٍّ عليها من دونك. ولهذا بالضبط بنينا إصدارنا الحالي لأراضي الجوز في دنيزلي وأوشاك على السند المباشر لا على أي وعاءٍ جماعي: أقوى صيغة تملّكٍ متاحة، في يد المشتري نفسه.
كيف يتملّك الأجنبي أرضاً زراعية في تركيا: القواعد الخمس
فتح قانون السجل العقاري التركي (رقم 2644، بتعديل عام 2012) باب التملّك المباشر للأفراد الأجانب من دون شرط المعاملة بالمثل القديم. وتحكمه خمسة شروط:
أهلية الجنسية. معظم الجنسيات — ومنها معظم جنسيات الخليج وبلاد الشام — تشتري بالموافقات الاعتيادية. قائمة قصيرة من الجنسيات لا يمكنها حمل الطابو مباشرةً، وجنسيات قليلة أخرى تحتاج موافقةً إضافية من وزارة الداخلية. ومن واجب أيّ بائع أن يتحقق من أهلية جنسيتك قبل أي التزام — ونحن نفعل ذلك في المكالمة الأولى.
سقف الثلاثين هكتاراً. يحقّ للفرد الأجنبي تملّك ما يقارب 30 هكتاراً على مستوى تركيا كلها — وهو أعلى بكثير مما تتطلبه قطعة بستانٍ اعتيادية، لكنه مهم لمن يخطط لمحفظة أراضٍ.
سقف المنطقة. لا يجوز أن يتجاوز مجموع تملّك الأجانب 10% من الأراضي الخاصة في أي قضاء — والسجل العقاري هو من يتحقق من ذلك، لا أنت.
الفحص الأمني للموقع. الأراضي الواقعة ضمن مناطق عسكرية أو أمنية لا تُباع للأجانب. يفحص السجل كلَّ طلب ضمن إجراءات المعالجة.
التقييم المُرخَّص. منذ عام 2019، يتطلب كل شراءٍ أجنبي تقريرَ تقييمٍ مستقلاً من خبير مُرخَّص من الدولة — حمايةٌ للمشتري تربط السعرَ المصرَّحَ به بتقييمٍ مهني.
الإجراءات خطوة بخطوة
استخراج رقم ضريبي تركي. يصدر في اليوم نفسه بجواز السفر؛ وهو شرط لأي معاملة في السجل.
تجهيز المستندات. جواز سفر بترجمة محلَّفة، وصور بيومترية، ووكالة رسمية إن كنت تشتري عن بُعد.
توقيع اتفاقية البيع. تُثبِّت الاتفاقية القطعة والسعر والتزامات الطرفين. وفي إصدارنا الجاهز، التوقيع هو ما يُطلق العمل في الأرض — تجهيز التربة، ومدّ الري بالتنقيط، وغرس شتلات شاندلر المعتمدة (Blue Certified) — فتُطوَّر الأرض خلال فترة السجل لا بعدها. الأرض تُباع جاهزةً للزراعة، وتتسلّمها بستاناً مغروساً مع سندك. تفاصيل البرنامج على صفحة الإصدار.
التقييم وتقديم الطلب. يُجرى التقييم المرخَّص ويذهب الملف إلى السجل العقاري الذي يُجري فحوص الجنسية والسقوف والمناطق الأمنية.
شهادة صرف العملة. يُحوِّل المشتري الأجنبي أموال الشراء عبر بنك تركي يُصدر شهادة صرف العملة التي يطلبها السجل عند النقل.
نقل الطابو. في مديرية السجل العقاري — حضورياً أو بالوكالة — ينتقل السند إلى اسمك. واحسب لذلك عدة أشهر من البداية إلى النهاية؛ فهي مدة معالجةٍ حكومية، وليست أوراقاً يمكن استعجالها.
التشغيل. تشغيل البستان يحتاج مشغِّلاً محترفاً باتفاقية مكتوبة. وفي نموذجنا يتعاقد المالك مباشرةً مع شريك التشغيل التركي — فالمشغِّل يعمل لحسابك أنت، لا لحسابنا.
التكاليف المتوقعة — بعد سعر الأرض
خطّط لهذه البنود في أي شراء أرضٍ زراعية تركية؛ أما توزيعها بالتحديد (مَن يتحمّل أيَّ بند، وما المشمول) فتحدده شروط كل صفقة:

ما يجب أن يتحقق منه مشتري الأرض الزراعية تحديداً
الأرض الزراعية لها فحوصها الخاصة التي لا تخطر ببال مشتري الشقق. أيّاً كان البائع — نحن أو غيرنا — تحقق من هذه قبل التوقيع:
المياه. قطعة بلا ترتيب مياهٍ موثَّق هي حقل، لا مزرعة. اسأل بدقة: كيف تُروى هذه القطعة؟ وما المُثبت من ذلك على الورق؟ وفي إصدارنا، ترتيب المياه لكل قطعة مُفصَّل في ملف القطعة نفسها.
التضاريس والتربة. أرض مستوية صالحة للعمل بملاءمةٍ موثَّقة للمحصول المقصود — فالجوز والزيتون والفستق لكلٍّ منها أرضها المفضلة.
الوضع القانوني للقطعة. أرقام Ada/Parsel على الطابو يجب أن تطابق ما عُرض عليك. وكل قطعة في إصدارنا الحالي مدرجة بأرقام سجلها.
حدود البناء. الأراضي الزراعية التركية تخضع لقيود بناءٍ صارمة — جزءٌ صغير فقط من القطعة يجوز البناء عليه، ونسبته تختلف من قطعةٍ لأخرى. ثبّت النسبة كتابةً قبل أن تخطط لأي بيت مزرعة.
حدّان نقولهما بصراحة
الأرض الزراعية لا تمنح الإقامة التركية ولا الجنسية — فهذه برامج مرتبطة بعقارات سكنية مؤهَّلة. ودنيزلي وأوشاك محافظتان داخليتان للزراعة على هضابٍ مرتفعة: هذه أرضٌ مُنتجة، لا قطعة ساحلية للاصطياف. إن كان أيٌّ من هذين هو غايتك الفعلية، فليست هذه صفقتك المناسبة — وسنقولها لك بوضوح في المكالمة الأولى.
الشراء عن بُعد
كثير من مشترينا من الخليج وبلاد الشام يُتمّون الصفقة كاملةً من دون السفر: وكالة رسمية تُوقَّع لدى قنصلية تركية في بلدك تتيح لممثلٍ محلي إنجاز خطوات السجل. وفي إصدارنا، تُوثَّق الأرض بصور الأقمار الصناعية حتى يُسلَّم البستان المغروس مع الطابو. الزيارات الميدانية مرحَّبٌ بها دائماً — وليست شرطاً أبداً.

من اتفاقية البيع حتى صدور السند باسمك، احسب عدة أشهر — وهي نافذة المعالجة المعتادة لدى السجل العقاري لمشتريات الأجانب. وفي البرامج الجاهزة يُطوَّر البستان خلال النافذة نفسها، فيصل السند والبستان المغروس معاً.
نعم. الملكية المسجَّلة بطابو تنتقل إلى الورثة كأي عقار تركي مُسجَّل — مع خضوع الورثة لقواعد التملّك الأجنبي نفسها. وهذا الأفق الطويل تحديداً هو ما يجعل المحاصيل الدائمة كالجوز مناسبةً للأرض ذات الطابو: عمر البستان الإنتاجي يُقاس بالعقود، وأول حصادٍ تجاري يأتي عادةً نحو السنة الثالثة.

The short answer: most nationalities can buy Turkish farmland with a direct Tapu (title deed) registered in their own name — subject to a nationwide cap of roughly 30 hectares per person, a security-zone check on the specific parcel, and a licensed valuation. Land Registry processing typically takes several months from signature to title.
What the Tapu actually is — and why it matters
The Tapu is the official title deed issued by Türkiye’s Land Registry (Tapu ve Kadastro). It is not a contract with a developer, not a share in a company, and not a usage right. It is the same instrument a Turkish citizen receives when they buy land: your name, the parcel’s registered block and lot number (Ada/Parsel), recorded by the state.
That distinction does real work. A Tapu-held parcel can be sold, inherited, or held indefinitely — and no operator, developer, or intermediary can encumber it without you. It’s why we structured our own current walnut-land release in Denizli & Uşak around direct title rather than any pooled vehicle: the strongest form of ownership available, in the buyer’s own hands.
The five rules when foreigners buy farmland in Türkiye
Turkish land law (Law No. 2644, as amended in 2012) opened direct ownership to foreign individuals without the old reciprocity requirement. Five conditions frame it:
Nationality eligibility. Most nationalities — including most Gulf and Levant nationalities — can buy with standard approvals. A short list of nationalities cannot hold a Tapu directly, and a few others need an extra Interior Ministry approval. Whoever you buy from should confirm your specific eligibility before any commitment — we do it in the first call.
The 30-hectare cap. One foreign individual may hold up to roughly 30 hectares nationwide — far above what a typical orchard parcel requires, but worth knowing if you plan to build a portfolio.
The district cap. Foreign owners collectively may not exceed 10% of the private land in any one district — checked by the registry, not by you.
Security-zone clearance. Land inside designated military or security zones can’t be sold to foreign buyers. The registry screens every application as part of processing.
Licensed valuation. Since 2019, every foreign purchase requires an independent, state-licensed appraisal report — a buyer protection that anchors the declared price to a professional valuation.
The process, step by step
Get a Turkish tax number. Issued same-day with a passport; required for any registry transaction.
Prepare documents. Passport with sworn translation, biometric photos, and a power of attorney if you’re buying remotely.
Sign the sale agreement. This fixes the parcel, the price, and the obligations of each side. In our turnkey release, signing is also what triggers the orchard work — soil preparation, drip irrigation, and the planting of Blue Certified Chandler saplings — so the land is developed during the registry window, not after it. The land is sold ready-to-plant; you receive it as a planted orchard with your title. Program specifics are on the release page.
Valuation and registry application. The licensed appraisal is commissioned and the file goes to the Land Registry, which runs the nationality, cap, and security-zone checks.
Currency document. Foreign buyers convert purchase funds through a Turkish bank, which issues the foreign-exchange certificate the registry requires at transfer.
Tapu transfer. At the Land Registry Directorate — in person or via your power of attorney — title passes to your name. Allow several months end to end; it is registry processing, not paperwork you can rush.
Operate. For a working orchard you’ll want a professional operator under a written agreement. In our model the owner contracts the Turkish operating partner directly — the operator answers to you, not to us.

What agricultural buyers specifically should verify
Farmland adds checks that an apartment never needs. Whatever land you buy — from us or anyone — verify these before signing:
Water. A parcel without a documented water arrangement is a field, not a farm. Ask exactly how the parcel is irrigated and what is on paper. For our release, the water arrangement for each parcel is detailed in its parcel materials.
Terrain and soil. Flat, workable land with documented suitability for the intended crop — walnut, olive, and pistachio each want different ground.
Legal parcel status. The Ada/Parsel numbers on the Tapu must match what you were shown. Every parcel in our current release is listed with its registry numbers.
What you may build. Turkish agricultural land carries strict building limits — only a small fraction of a parcel may be built on, and the exact share is parcel-specific. Confirm it in writing before you plan any farmhouse.
Two honest limits
Agricultural land does not grant Turkish residency or citizenship — those programs require qualifying residential property. And Denizli & Uşak are inland, high-plateau farming provinces: this is productive land, not a coastal holiday plot. If either of those is what you’re actually after, this isn’t your purchase — and we’ll tell you so on the first call.
Buying remotely
Many buyers from the Gulf and the Levant complete the entire purchase without flying in: a power of attorney signed at a Turkish consulate lets a local representative handle the registry steps. In our release, the land is documented with satellite imagery until the planted orchard is handed over with the Tapu. Site visits are always welcome — never required.
